Who we are
“Eternix,” “we,” “us,” and “our” refer to the operating entity behind the Eternix brand and its affiliates involved in delivering the Services. If you enter into a separate agreement with us (for example, an order form or statement of work), that agreement controls where it conflicts with these Terms on the subject matter it covers.
Eligibility & accounts
You must have authority to agree to these Terms on behalf of yourself or the organization you represent. If you create or administer an account, you are responsible for safeguarding credentials and for all activity under the account. Notify us promptly if you suspect unauthorized access via our contact channels.
What we provide
Eternix builds software and integrations that help organizations connect data, models, and workflows—often described as an AI or intelligence layer for existing systems. Specific features, environments, and availability may vary by offering and may change over time as we improve the Services.
Unless expressly agreed in writing, we provide professional services, demos, and experimental features on an as-available basis and may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.
Acceptable use
You agree not to misuse the Services. For example, you must not:
- Violate applicable law or infringe others’ intellectual property, privacy, or publicity rights.
- Probe, scan, or test the vulnerability of our systems or bypass security or access controls.
- Upload malware, interfere with service operation, or impose an unreasonable load on infrastructure.
- Use the Services to build or operate unlawful surveillance, deception, or discrimination systems, or to generate unlawful output at scale when prohibited by law.
- Scrape, harvest, or extract data from the Services in violation of these Terms or technical limits we communicate.
We may investigate violations and cooperate with authorities where required.
Customer data & instructions
Where you configure integrations or send content through the Services (“Customer Data”), you retain your rights in that material. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services, troubleshoot issues, and comply with law—as further described in our Privacy policy.
You represent that you have obtained all notices and consents legally required for us to process Customer Data on your behalf.
Intellectual property
We own the Services, including software, branding, documentation, and aggregate insights that do not identify you (subject to privacy commitments). Except for the limited rights expressly granted here, neither party grants the other any license or ownership interest.
Feedback you voluntarily provide may be used by Eternix without obligation or restriction.
Third-party services
The Services may interoperate with third-party platforms (cloud providers, APIs, identity providers). Those third parties have their own terms and privacy policies. Eternix is not responsible for their acts or omissions.
Confidentiality
Each party may receive non-public information from the other (“ Confidential Information”). The recipient will use Confidential Information only for the purposes of these Terms and will protect it using reasonable safeguards. Confidentiality obligations do not apply to information that is public, independently developed, or legally required to be disclosed.
Disclaimers
Except where prohibited by law, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Automated and AI-assisted outputs may be inaccurate or incomplete; you remain responsible for decisions made using such outputs.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. EACH PARTY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO ETERNIX FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THAT PERIOD OR (B) ONE HUNDRED US DOLLARS (US $100), IF NO FEES APPLIED.
These limitations do not apply to liability that cannot be limited by law (such as gross negligence or willful misconduct in some jurisdictions), or to your payment obligations.
Indemnity
You will defend and indemnify Eternix and its directors, officers, and employees against third-party claims arising from Customer Data, your violation of these Terms, or your violation of applicable law—except to the extent caused by our willful misconduct.
Term & termination
These Terms apply from your first use of the Services until terminated. We may suspend or terminate access if you materially breach these Terms or if we must do so to comply with law or protect the Services. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive termination.
Changes
We may update these Terms from time to time. If a change is material, we will provide notice (for example, by posting an updated date on this page or by email where we have your address). Continued use after the effective date constitutes acceptance. If you disagree, you must stop using the Services.
Governing law & disputes
These Terms are governed by the laws of India, excluding conflict-of-law rules. Courts in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from or relating to these Terms, subject to any mandatory consumer protections in your country of residence that cannot be waived.
If you access the Services from outside India, you are solely responsible for compliance with local laws where applicable.
General
These Terms constitute the entire agreement regarding the Services described here and supersede inconsistent prior discussions. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
